Pizzarotti company reaches agreement with banks and CDP to restructure its debt

Impresa Pizzarotti & C. (“Impresa Pizzarotti” or the “Company”) announces that, between April 1 and April 2, 2026, an Agreement (pursuant to Articles 23, paragraph 1, letter c) and paragraph 2-ter, and 25, paragraph 9 of the Italian Insolvency Code – CCII) was executed between Impresa Pizzarotti & C., Mipien, and PUD, together with their financing institutions and Cassa Depositi e Prestiti.

The Agreement was also signed by Dr. Gian Luca Nanni Costa (Studio Gnudi), who, in his capacity as Independent Expert in the Negotiated Settlement of the Crisis (“CNC”), filed his Final Report on April 15, 2026, in which he certified that “the Negotiated Settlement of the Crisis of the companies of the MIPIEN Group can be considered successfully concluded with the execution of an Agreement pursuant to Article 23, paragraph 1, letter c) of the CCII with the financial creditors.”

The negotiated settlement process was initiated on January 31, 2025, and was carried out in a structured and continuous manner until its completion, making it possible to define a comprehensive plan for financial rebalancing and capital strengthening.

During the proceedings, the role of the Independent Expert and the Court of Bologna (Judge Alessandra Mirabelli) was crucial in ensuring balance, diligence, and rigor in the implementation of the measures and compliance with the timeline, fostering an orderly and constructive dialogue among all the parties involved.

The transaction was also supported by the analyses prepared by Dr. Franco Carlo Papa (Studio Papa), which helped highlight the Company’s industrial capacity and the existence of the conditions necessary for its recovery. In this context, Dr. Franco Carlo Papa will continue to assist the Company and the pool of banks as Chief Restructuring Officer.
